License (Service, Outputs, Notebooks, and Data Access)

Effective Date; Relationship to Other Terms

This License governs your rights to access and use QuantPad and any outputs generated through QuantPad. This License is part of and incorporated into the Terms of Service. Capitalized terms not defined here have the meanings given in the Terms.

Key Definitions

  • "Service": QuantPad’s hosted SaaS platform, including UI, workflows, notebook execution environment, APIs, compute, caching layers, access control, and supporting infrastructure.
  • "Outputs": Anything generated or returned by the Service, including (without limitation) code, notebooks, scripts, indicators, strategies, analytics, explanations, charts, reports, and derived results.
  • "Market Data": Any market, pricing, macro, reference, or related datasets, whether raw, curated, cached, transformed, or derived, made available through the Service.
  • "Authorized Use": Personal education, private research, internal experimentation, and individual trading for your own account (not as a product or service offered to others).

Grant of License

Subject to your ongoing compliance with the Terms, this License, and the Acceptable Use rules, QuantPad grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service and Outputs solely for Authorized Use during an active subscription period (or other access period we grant).

You may modify Outputs (including AI-generated code and notebooks) for your private use consistent with Authorized Use.

QuantPad IP; No Transfer of Ownership

QuantPad and its licensors retain all rights, title, and interest in and to the Service and all proprietary components, including UI/UX, workflows, feature structure, orchestration logic, prompts, internal tools, market data access mechanisms, caching layers, pipelines, and branding ("QuantPad IP"). This License grants you only the limited rights expressly stated and does not transfer ownership of QuantPad IP.

Outputs: Limited Rights; Important Clarifications

Outputs are licensed to you only as described here. Outputs may incorporate, reflect, or depend on QuantPad IP (including proprietary orchestration logic, internal workflows, or data pipelines). Nothing in this License grants you rights to QuantPad IP, including any system prompts, orchestration, or nonpublic methods.

You are responsible for verifying Outputs and for compliance with any third-party terms that may apply (including market data provider restrictions).

Market Data and Data Access Restrictions

Market Data access is licensed, not sold. You may use Market Data only within the Service and only for Authorized Use, subject to rate limits, quotas, and any applicable third-party provider terms. QuantPad may restrict, meter, delay, or disable access to Market Data at any time.

You may not export, bulk-download, scrape, rehost, mirror, redistribute, or resell Market Data (including curated, cached, or derived data) unless QuantPad expressly permits it in writing.

Prohibited Uses (Core Protection Clauses)

Without QuantPad’s express written permission, you may not:

  • Redistribute, publish, share, sell, sublicense, or otherwise make available the Service, Outputs, or any portion of QuantPad IP to any third party, including in a way that allows others to avoid subscribing.
  • Resell, offer, or operate derivative services, products, tools, dashboards, or workflows that are built from, rely on, or are substantially enabled by QuantPad infrastructure, Market Data access, caching layers, APIs, workflows, or Outputs (including "done-for-you" research, alerts, dashboards, or copilots where QuantPad is the hidden engine).
  • Use Outputs to create, market, or provide a competing or substitute service, including any service that replicates QuantPad’s features, workflows, or user experience in whole or in part.
  • Use Outputs or any part of the Service to train, fine-tune, validate, or improve any model; to populate external databases or content libraries; or to power external applications, agents, or automations that are offered to third parties or used commercially outside Authorized Use.
  • Reverse engineer, decompile, disassemble, or attempt to derive source code, system prompts, internal workflows, rate-limit rules, nonpublic APIs, or other trade secrets of QuantPad.

Revocation; Termination

This License is revocable. If you violate the Terms, this License, or the Acceptable Use rules, your rights under this License may be immediately suspended or terminated. Upon termination, you must stop using the Service and Outputs except to the extent continued private retention is permitted by applicable law.

Enforcement; Equitable Relief

You agree that misuse of the Service, Market Data, or Outputs (including redistribution, resale, or use to build competing/derivative services) may cause irreparable harm. QuantPad may seek injunctive or equitable relief to enforce this License, in addition to any other remedies available at law or in equity.

Disclaimer

Outputs may contain errors, omissions, or inaccuracies, and may not be appropriate for live trading. The Service and Outputs are provided "as is" and "as available" without warranties of any kind.
